Wholesale Policy Summary

We’re delighted to partner with approved retailers who align with our brand and values.

Here’s a quick overview of how our wholesale program works:

• Minimum order: 15 books per order

• Pricing: Tiered discounts off RRP based on volume

• Payment: Upfront via Shopify checkout (approved invoicing options may be offered in future)

• Fulfilment: Most titles are produced via authorised global print partners and dispatched based on operational efficiency and retailer location

• Special Editions: May ship directly from authorised global fulfilment locations

• Shipping: Wholesale shipping rates apply

• International orders: Duties, VAT, tariffs, and import charges are the retailer’s responsibility

• Returns: Claims accepted for transit damage only (within 7 days of delivery, with photo evidence)

• Resale: Products must be sold through your approved retail store only and not supplied to marketplace platforms, resellers, or distributors without our approval

• Branding & IP: You may use our approved marketing materials or your own content when promoting our products. Please do not modify covers or reproduce the literary content.

Wholesale Terms & Conditions

Governing Law: Western Australia, Australia


These Wholesale Terms & Conditions (“Terms”) govern all wholesale purchases from Lana Pecherczyk Pty Ltd (“we”, “us”, “our”). By applying for or placing a wholesale order, you (“Retailer”, “you”) agree to be bound by these Terms.

 

1. Eligibility & Approval

Wholesale access is granted at our sole discretion.

To be eligible, you must:

  • Operate a registered business (registered business name required);

  • Maintain an active online presence (website and/or social media presence);

  • Provide accurate and complete information in your wholesale application.

We reserve the right to approve or decline any application without providing reasons.

Wholesale accounts are non-transferable and may only be used by the approved business entity.

 

2. Minimum Order Requirements

  • Minimum order quantity: 15 books per order

  • No minimum order value (quantity requirement applies)

Orders below the minimum may be cancelled unless expressly approved in writing by us.

 

3. Pricing & Discounts

Wholesale pricing is calculated as a tiered discount off the Recommended Retail Price (RRP), based on order volume.

We reserve the right to:

  • Amend product pricing;

  • Amend discount tiers;

  • Amend shipping rates;

  • Introduce or withdraw products from wholesale availability.

We will endeavour to provide advance notice of pricing changes where reasonably practicable.

All prices are displayed in the applicable store currency. Taxes are applied in accordance with Shopify checkout settings and applicable laws.

 

4. Payment Terms

Wholesale orders are currently payable upfront via Shopify checkout.

We may, at our discretion, offer alternative payment terms (e.g., invoicing or net terms) to approved retailers in the future. Any such arrangement must be confirmed in writing by us.

 

5. Fulfilment & Shipping

5.1 Print-on-Demand (POD) Orders

Most wholesale titles are fulfilled via authorised print-on-demand (POD) partners located in various regions globally.

Orders may be routed for printing and dispatch based on retailer location, production efficiency, or operational considerations.

Due to the nature of POD production across multiple facilities, minor variations in colour tone, print finish, or material characteristics may occur between print locations and print runs. Such variations do not constitute defects.

5.2 Special Edition & Warehouse Stock

Certain titles, including special or limited editions, may be fulfilled from authorised warehouse locations or production facilities in one or more global regions.

Fulfilment location may vary depending on stock availability, operational requirements, and shipping logistics.

5.3 Shipping Charges

Shipping is charged at flat-rate wholesale rates.

We may ship to approved wholesale territories at our discretion.

5.4 Duties & Taxes

All import duties, customs fees, tariffs, VAT, GST, and similar charges are the responsibility of the Retailer.

We are not responsible for customs delays, border processing times, or charges imposed by local authorities.

5.5 Risk

Risk in the goods passes to the Retailer upon dispatch from the relevant production facility or fulfilment location.

Shipping timeframes are estimates only and not guaranteed.

 

6. Damaged Goods & Claims

We accept claims for goods damaged during transit only.

Claims must:

  • Be submitted within 7 days of delivery;

  • Include clear photographic evidence of both the outer packaging and the affected goods;

  • Include order details to assist with carrier or printer investigations.

Upon review of the claim, and subject to verification, we may (at our discretion):

  • Replace the damaged goods;

  • Issue a credit; or

  • Issue a refund.

Where a carrier or print partner declines liability for the damage, we reserve the right to determine the appropriate resolution on a case-by-case basis.

We may require the return of damaged goods prior to issuing replacement, credit, or refund, particularly in circumstances involving substantial damage, high-volume claims, or irregular claim patterns.

Return shipping requirements and cost allocation will be determined at our discretion.

We do not accept returns for change of mind, overstock, slow sales, incorrect ordering, or minor POD print variations.

 

7. Resale and Pricing Policy

Our Recommended Retail Price (RRP) reflects the intended brand positioning and market value of our products.

Retailers retain discretion over their resale pricing. However, Retailers agree not to engage in sustained, systematic, or extreme discounting practices that materially undermine the brand’s positioning or create market distortion.

Wholesale products must not be used as loss leaders, clearance stock, or deep-discount promotional tools in a manner that devalues the brand.

Retailers agree that wholesale products:

  • Must be sold only through the approved retail store(s) declared in the application;

  • Must not be resold on marketplace platforms including (but not limited to) Amazon, eBay, Etsy, or similar third-party platforms, without our prior written approval;

  • Must not be supplied to third-party distributors without our prior written approval.

Retailers must not advertise or promote products in a way that misrepresents their value, positioning, or official retail pricing.

We reserve the right to suspend or terminate wholesale access where pricing,  promotional, or resale practices materially harm brand integrity or fair market positioning.

 

8. Branding & Intellectual Property & Permitted Use

All products, literary works, artwork, covers, branding, content, and related materials remain the intellectual property of Lana Pecherczyk Pty Ltd and/or its authors and licensors.

Wholesale purchases grant the Retailer a limited, non-transferable right to resell the purchased physical goods solely through the approved retail business identified in the wholesale application.

Retailers may:

  • Use approved marketing materials provided by us;

  • Promote products using official images and descriptions for the purpose of retail sale;

  • Display, market, and represent our products using their own content in good faith.

Retailers must not:

  • Alter book covers, branding, or content;

  • Reproduce, scan, digitise, copy, extract, adapt, translate, or distribute the literary content of the works except as permitted under applicable copyright law;

  • Use the works or their content for artificial intelligence training, data mining, scraping, republication, or derivative creation;

  • Distribute, sublicense, or supply products to third parties other than for direct retail sale to end customers;

All intellectual property rights remain solely with Lana Pecherczyk Pty Ltd and its authors or licensors.

 

9. Account Suspension & Termination

We may suspend or terminate a wholesale account at any time where the Retailer:

  • Breaches these Terms;

  • Misuses wholesale access;

  • Engages in pricing, promotional, or distribution practices that materially undermine brand positioning; 

  • Resells products through unauthorised channels

  • Engages in conduct damaging to brand reputation;

  • Engages in conduct that exposes us to legal, regulatory, or commercial risk.

Upon termination, wholesale pricing access will be revoked immediately.

Termination does not limit any other rights or remedies available under law.

 

10. Limitation of Liability

To the extent permitted by law, our liability is strictly limited to the replacement, refund, or credit (at our discretion) of the specific goods proven to be damaged or defective.

We are not liable for any indirect, incidental, consequential, or economic loss, including loss of profit, revenue, sales opportunity, or business interruption.

Nothing in these Terms excludes rights that cannot be excluded under Australian Consumer Law or other applicable mandatory legislation.

 

11. Governing Law & Jurisdiction

These Terms are governed by the laws of Western Australia, Australia.

The Retailer agrees that all claims, disputes, and proceedings arising out of or in connection with these Terms shall be brought exclusively in Western Australia, Australia.

The Retailer waives any objection to jurisdiction based on location, forum, or inconvenience.

 

12. Force Majeure

We are not liable for any delay or failure to perform our obligations where such delay or failure results from events beyond our reasonable control, including but not limited to natural disasters, acts of government, supply chain disruptions, print partner delays, carrier interruptions, labour disputes, pandemics, or other unforeseen events.

Where such circumstances occur, we will use reasonable efforts to minimise disruption and resume performance as soon as practicable.
